Genesis10 is currently seeking a Part-Time Legal Consultant working 25-30 hours with our client in the financial industry. Job Description Our client, a prestigious player in the financial services sector, is embarking on a major, multi-year initiative. We are seeking a dynamic and skilled legal professional to join their team as a long-term contractor. You will be the right-hand to the in-house counsel, serving as the "eyes and ears" on a critical project. Your expertise will be crucial in shaping the regulatory framework, creating key client-facing documents, and ensuring seamless implementation of business objectives within a complex legal landscape. Key Responsibilities: Regulatory Document Drafting & Management: Take the lead in drafting, preparing, and filing critical regulatory documents with the SEC, with a core focus on Form ADV and ADV Brochures (client-facing disclosures). Advisory Agreement Negotiation: Negotiate Investment Advisory Agreements with clients, leveraging existing templates to secure favorable terms. Strategic Legal Support: Partner with business leaders to understand their objectives, identify legal issues, and determine the applicability of federal securities laws and FINRA rules. Compliance & Process Implementation: Translate legal requirements into actionable business processes and help implement them effectively. Marketing Material Review: Review and approve marketing and advertising materials to ensure full compliance with the standards set forth by the Investment Advisers Act. What You Bring (Qualifications): Juris Doctor (J.D.) degree and active bar membership in good standing. 5+ years of relevant legal experience (candidates with a strong 3+ years will be considered). Deep, hands-on experience with the Investment Advisers Act of 1940 and SEC filing processes is non-negotiable. Proven experience in drafting and negotiating Investment Advisory Agreements. Specific, practical knowledge of Form ADV and ADV Brochure creation. Familiarity with Federal Securities Law; FINRA rules experience is a significant plus. A proactive, business-minded approach with the ability to identify issues, define requirements, and drive projects forward. Excellent communication and collaboration skills, with the ability to serve as a trusted legal advisor.
